Incleus Terms of Service

1. Acceptance

By checking the “I Agree” box when you create an account, you enter into a legally binding contract on these terms. That step exists so you have a conspicuous opportunity to read them before being bound by them.

2. What the service does

Incleus is invoicing and business-management software delivered over the internet. Depending on your plan it provides:

  • Documents — invoices, quotes and receipts, with per-line tax calculated manually or automatically through Stripe Tax, and a payment page your clients can open from a link.
  • Records — clients, reusable charges and costs, payments and refunds, and an export built for your accountant.
  • Jobs, on the Operations plan — projects measured against a quote, time and cost tracking, receipt and odometer capture, and margin.
  • Online payments, if you connect a Stripe account — your clients pay you directly through Stripe, and a platform fee is deducted from each payment.

3. Tax is calculated, never determined

Incleus computes tax on a document from the rates you assign or from Stripe Tax, and records tax collected and tax paid as separate facts. IT DOES NOT TELL YOU WHAT YOU OWE, and produces no figure for tax owed, recoverable or to remit — that determination depends on eligibility, registration and filing rules the software does not model, and it remains yours and your accountant's. You are responsible for the rates you enter in manual mode and for the registrations you hold.

4. Money movement and your own compliance

Incleus is a software provider. When you enable online payment acceptance, you acknowledge that Incleus facilitates money movement, which brings additional compliance oversight to your account. Stripe carries the bulk of that regulatory load and collects payment card details directly; Incleus never receives them. You remain responsible for your own financial and tax compliance obligations.

5. Plans, fees and cancellation

Invoicing is free and stays free. Paid plans are billed through Stripe, and the following is how billing actually behaves:

  • Subscriptions: Paid plans renew automatically for the period you chose, monthly or annually, at the price shown when you subscribed. You manage the plan, your card and your invoices yourself through the Stripe billing portal linked inside the app.
  • Metered automatic tax: On plans that include automatic tax, one calculation is counted per invoice at the moment you issue it. Quotes and receipts never count, and re-issuing the same invoice in the same period does not count again. Calculations beyond your included allowance are charged per invoice on your next Stripe invoice. Going over is charged; it is never blocked.
  • Cancelling: You can cancel at any time from the billing portal, which stops future renewals. Paid features remain available for the period you have already paid for.
  • If a plan lapses: Your records stay readable and exportable. These are your financial documents and we will not hold them hostage over a billing state; only adding to them stops.

6. Your account and access

You are responsible for the credentials used to reach your account and for the people you invite into your organization. Two-step verification is available in Settings › Security and we recommend switching it on; it is not required today, and if that ever changes you will be told before it does. Tell us promptly at privacy@incleus.com if you believe an account has been accessed without permission.

7. Your data is yours

You own everything you and your clients put into Incleus — your business details, your clients, your documents, your hours and costs, and the files you upload. Using Incleus gives us no ownership of any of it, and nothing in these terms transfers any.

  • Using a feature is the permission: To run Incleus we have to store your records, calculate on them, show them to the people you invite, send the documents you tell us to send, and hand everything back when you export. That is the whole of the permission you give us. It covers the processing a feature you are using actually needs, and nothing beyond it.
  • Anything else needs you to say yes: Nobody at Incleus will look at your records to investigate a problem unless you have asked for help and agreed to it, and then only as far as fixing that problem requires, and we will tell you what we needed to see. We will not read your records to build features, to study how you work, or out of curiosity.
  • We will never sell it: We will never sell, rent, licence, trade or otherwise hand over your records or your clients' personal information for anyone else's purposes — not for marketing, not for research, not for any price. This is not a description of a business model that could change with the business: it survives any sale, merger or reorganisation of Incleus, and any buyer takes your records subject to it or does not take them at all.
  • We do not pool it or learn from it: Your records are never combined with other businesses', never used to build a score, rating or benchmark about you or your clients, and never used to train an AI model. Receipt and odometer images are sent to Anthropic to be read back to you and for nothing else; we do not authorise their use for model training.

8. Data processing

You are the controller of your clients' and staff's personal information and Incleus is the processor. We agree that:

  • Protection: Incleus will use contractual and technological means to give that data a level of protection comparable to what we give our own.
  • Location: You authorize Incleus to store and process your data and your clients' personal information in the ca-central-1 region (Canada Central), and to have two named sub-processors handle parts of it outside Canada as set out in the Privacy Policy.
  • Sub-processors: You give general authorization for Incleus to engage the sub-processors listed in our Privacy Policy. That list is the complete one, and it changes when they do.
  • Deletion: On termination, Incleus will securely anonymize or destroy your data, subject to the retention periods that apply to financial records.

9. Records you have issued

An issued invoice, quote or receipt cannot be altered — not by you, and not by us. Corrections are made by voiding a document or raising a new one, and payments are corrected by reversal entries rather than edits. This is deliberate: it is what makes the record worth anything to an auditor, and it means neither party can quietly change what a client was sent.

10. Limitation of liability

Incleus provides the service “as is” and “as available.” To the maximum extent permitted by law, Incleus is not liable for indirect or consequential damages, including loss of business revenue or tax inaccuracies arising from figures you entered in manual mode. Our total liability is limited to the fees you paid in the 12 months preceding a claim.

11. Questions and complaints

If you believe Incleus has failed to meet its obligations under these terms or under PIPEDA, contact our Privacy Officer at privacy@incleus.com. You have the right to take any unresolved challenge to the Office of the Privacy Commissioner of Canada.
